Exceed Certified: Certification Terms (the Mark)
Exceed OS · Exceed Nutrition Ltd
Last updated: 23 June 2026 Version: 1.0
These Certification Terms govern the award, use and licensing of the Exceed Certified credential and the Mark (the Exceed Certified seal and badge). They are issued by Exceed Nutrition Ltd (company number NI635845), a company registered in Northern Ireland, whose registered office is at 8 Church Court, Holywood, Northern Ireland, BT18 9FP ("Exceed", "we", "us", "our").
They form part of, and must be read with, the Exceed OS Terms of Service and the Academy Terms (together, the Terms). Capitalised terms not defined here have the meaning given in the Terms. In the event of conflict, these Certification Terms prevail on the narrow subject of the credential and the Mark; the Terms prevail on everything else.
If you are awarded, claim, display or use the Mark, you accept these Certification Terms. If you do not accept them, you must not use the Mark.
1. Definitions
In these Certification Terms:
- "Academy" means Exceed Academy, the educational and certification programme delivered through the Platform.
- "Certification" means the status of being Exceed Certified: recognition, awarded and issued by Exceed, that a Member has completed the applicable Academy programme to the standard we set. Completing the Academy makes a Member eligible to claim the Mark; it does not, by itself, confer Certification (clause 4).
- "Good Standing" means that your Exceed OS subscription and any Academy fees are paid and not in arrears, and you are not in breach of these Certification Terms or the Terms.
- "the Mark" means the name "Exceed Certified", the Exceed Certified seal, badge, logo lock-ups, and any associated certificate, certificate number or verification entry we issue.
- "the Method" / "the Exceed Way" means Exceed's proprietary coaching methodology taught through the Platform and the Academy.
- "Member" / "you" / "your" means the coach who is awarded or claims the Certification. You contract with us as a business (B2B).
- "Client" means your own end client. Exceed has no contract or relationship with your Clients.
- "Register" means the authoritative, issuer-held record of Certification status (Active, Inactive, Suspended or Revoked) that Exceed maintains as the source of truth and makes verifiable through a public verify page by certificate number only. There is no public directory and no searchable member database.
- "Platform" / "Exceed OS" means the Exceed web platform and all its desks (Coaching Desk, Meal Plan Desk, Asset Desk), the Academy, and The Exceed Way.
2. What Exceed Certified IS
2.1 Exceed Certified is a private, proprietary credential awarded by Exceed Nutrition Ltd. It recognises that you have completed the applicable Academy programme and demonstrated working knowledge of the Method to the standard Exceed sets from time to time.
2.2 It is a statement about your engagement with, and completion of, Exceed's own training. It is awarded, defined, maintained and withdrawn by Exceed alone, on these Certification Terms.
2.3 It entitles you, while in Good Standing, to the limited licence to use the Mark set out in clause 5.
3. What Exceed Certified IS NOT
3.1 Exceed Certified is not, and must never be represented as:
(a) a government, statutory, public-body or regulator-issued qualification, licence or accreditation;
(b) a university, college, degree, diploma, or other academic or Ofqual/regulated-qualification-framework award;
(c) a regulated, chartered, licensed or otherwise legally protected professional qualification or title (for example "dietitian", "nutritionist" or any title protected in your territory);
(d) registration with, or membership of, any professional, statutory or regulatory body, and it does not confer any right to practise, to a protected title, or to a scope of practice you do not already hold;
(e) a medical, clinical, dietetic, psychological or other healthcare qualification, and it does not authorise, qualify or permit you to diagnose, treat, or give medical, clinical or individualised nutritional advice;
(f) a substitute for, or equivalent of, any qualification, registration, licence, insurance, training or other legal or regulatory requirement that applies to you in your territory.
3.2 It does not replace your own qualifications, professional indemnity insurance, or legal/regulatory obligations. Holding the Mark does not change your scope of practice, does not relieve you of any duty to your Clients, and does not make Exceed responsible for your coaching. You remain solely responsible for assessing suitability, obtaining consent, safeguarding, and referring clinical or safeguarding red flags (including eating disorders, medication interactions including GLP-1 medicines, contraindications and allergens) to an appropriate healthcare professional.
3.3 Exceed does not verify, and gives no assurance about, your qualifications, registration, insurance or fitness to practise. Certification is not a vetting, accreditation or fitness-to-practise assessment of you or your business.
4. How the Certification is earned and issued
4.1 Earned by completing the Academy. Certification is earned by completing the applicable Academy programme and meeting the assessment requirements we publish for it (which may include the lessons, the rep/assessment exercises, and any final assessment). Completing the Academy makes you eligible to claim the Mark; it does not, by itself, make you Exceed Certified. We may change the requirements, name and structure of the Academy and the Certification from time to time.
4.2 Exceed issues the Certification. After you complete the Academy you claim the Mark, and Exceed issues the Certification once we have confirmed that you hold an active Exceed OS licence in Good Standing. Each Certification is given an official certificate number that only Exceed generates and issues (generated server-side, in the format EX-YYYY-XXXXXX); any number, badge or certificate produced on a device before Exceed issues it is not official and does not evidence Certification. Certification exists only when, and for as long as, Exceed recognises it. We may decline to award, withhold, or set conditions on Certification at our reasonable discretion, including where we are not satisfied the standard has been met or your Exceed OS licence is not active.
4.3 We record Certification status on the Register, which is the authoritative source of truth. Anyone can check the status of a certificate number on our public verify page. The authoritative source of whether you are Exceed Certified is the Register entry we hold (as shown on the verify page), not any badge, certificate, certificate number or screenshot in your possession.
4.4 Certification may be time-limited and subject to renewal, continuing requirements, or re-assessment as we publish from time to time.
4.5 Certification status. Your Certification has one of four statuses on the Register at any time, and the same status is shown when your certificate number is checked on our public verify page: (a) Active: you completed the Academy, Exceed issued your Certification, and you hold an active Exceed OS licence in Good Standing; (b) Inactive: you completed the Academy and Exceed issued your Certification, but your Exceed OS licence is not currently active (for example it has ended, lapsed or been cancelled); (c) Suspended: Exceed has temporarily suspended your Certification while we review an issue (clause 7); and (d) Revoked: Exceed has withdrawn your Certification (clause 7).
4.6 Active only while your licence is active. Your Certification is Active only while your Exceed OS licence is active and you remain in Good Standing. If your licence is not active, your Certification becomes Inactive; this is not a penalty and is not revocation, and it returns to Active when your licence is active again and you are in Good Standing. Revoked is reserved for the matters in clause 7 (misuse, breach, misconduct, fraud or serious concern), never for ordinary cancellation or lapse of a licence.
5. Licence to use the Mark
5.1 Subject to your continued Good Standing, Exceed grants you a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free licence to display and use the Mark solely to truthfully indicate that you are Exceed Certified.
5.2 The licence is valid only while your Certification is active and you remain in Good Standing. It is personal to you (or, where Certification is awarded to a named individual within a business, to that individual). It does not extend to your employees, contractors, associates, franchisees or any other person, and it is not an asset that can be sold, assigned or transferred with your business.
5.3 The licence grants you no ownership of, or goodwill in, the Mark (see clause 10). All rights not expressly granted are reserved to Exceed.
Permitted use and brand guidelines
5.4 You may display the Mark, accurately and unaltered, on your website, social media, email signature, marketing materials and proposals, to state that you are Exceed Certified, provided you comply with these Certification Terms and any brand or usage guidelines we publish from time to time (our Exceed Certified brand guidelines will follow and are available on request).
5.5 You must:
(a) use the current, official artwork we supply, without altering its colours, proportions, wording or design, and without combining it with other marks so as to suggest a single composite credential;
(b) keep the Mark legible and not present it more prominently than your own brand;
(c) display the mandatory disclaimer at clause 6 wherever you present the Mark as a credential; and
(d) cease use immediately if your Certification becomes Inactive, is suspended or is revoked, or if we withdraw or change the artwork.
Forbidden claims and uses
5.6 You must not:
(a) imply, directly or by impression, that the Mark is a government, statutory, regulatory, academic, university, accredited, chartered, licensed, medical, clinical or dietetic qualification, or that it confers professional registration or a protected title (see clause 3);
(b) imply that Exceed endorses, approves, supervises, is responsible for, or stands behind any specific advice, plan, programme, claim or service you provide to a Client, or any outcome a Client experiences. The Mark certifies your training, not your coaching;
(c) use the Mark, "Exceed", "Exceed Certified", "the Exceed Way", or anything confusingly similar, in or as part of a company name, trading name, domain name, sub-domain, social-media handle, app name, product name or registered trademark;
(d) use the Mark to promote, or in connection with, any product, service or claim that is unlawful, misleading, medical/disease-treatment-related, or contrary to advertising rules (including CAP/ASA rules in the UK and equivalent rules in your territory);
(e) alter, recreate, animate, or produce your own version of the Mark, or create derivative seals, certificates or badges;
(f) sub-license, transfer, sell or otherwise make the Mark available to any third party, or allow another coach to use your Certification or Mark;
(g) continue to display, claim or trade on the Mark after your Certification has become Inactive, been suspended or been revoked, including failing to remove it from cached pages, archived materials, printed collateral and third-party profiles within the period in clause 7.4; or
(h) make any false statement about the nature, level, scope, or currency of your Certification.
6. Mandatory disclaimer
6.1 Wherever you present the Mark as a credential (including your website "about"/credentials section, proposals, and any page where the Mark appears prominently), you must display, clearly and legibly, the following disclaimer (or the current version we publish):
"Exceed Certified™ is a private professional-development credential awarded by Exceed Nutrition Ltd recognising completion of Exceed Academy training in the Exceed Method. It is not a government, university, regulated, medical or dietetic qualification, does not confer professional registration or a protected title, and does not replace any qualification, insurance or legal requirement. [Member name/trading name] is solely responsible for the advice and services they provide to their clients."
6.2 You must not edit the disclaimer in a way that changes its meaning. We may update the required wording; you must adopt the updated wording within a reasonable period after we notify you or publish it.
7. Suspension, revocation and Inactive status
7.1 Your Certification stops being Active, and your Register entry is updated (so the new status is what our public verify page returns for your certificate number, which you cannot override locally), in three different ways:
(a) Inactive (licence not active). If your Exceed OS licence is not active (it ends, lapses, is cancelled, or your subscription or Academy fees fall into arrears), your Certification becomes Inactive under clause 4.6. This is not a penalty and is not revocation; it reflects that you are not currently a licensed Exceed OS user, and it reverses to Active when your licence is active again and you are in Good Standing.
(b) Suspended. We may suspend your Certification and the licence to use the Mark while we review a possible breach, misuse or concern, or pending the process in clause 7.2.
(c) Revoked. We may revoke your Certification and the licence to use the Mark where: (i) you misuse the Mark or breach these Certification Terms (including any forbidden claim in clause 5.6 or failure to display the disclaimer); (ii) you obtained Certification by misrepresentation, or the award was made in error; (iii) your conduct, in our reasonable opinion, brings or is likely to bring the Mark, the Method, the Academy or Exceed into disrepute, or is dishonest, unsafe, unlawful, or harmful to a Client or to the public; or (iv) we discontinue the Certification or the Academy.
Revocation is reserved for the matters in clause 7.1(c). Ordinary cancellation or lapse of your Exceed OS licence is dealt with as Inactive under clause 7.1(a), never as revocation.
7.2 Process. Except where clause 7.3 applies, before revoking for breach or conduct we will normally notify you of the issue, give you a reasonable opportunity to respond and, where the matter is capable of remedy, a reasonable period to remedy it. We may suspend the Certification and the licence pending that process. Where the matter is not remedied, or is not capable of remedy, we may revoke. Our decision on whether the standard or conduct requirement is met is final, acting reasonably and in good faith.
7.3 We may suspend or revoke with immediate effect, without a cure period, where there is a serious risk to Clients or the public, suspected fraud or impersonation, serious or repeated breach, or where required by law.
7.4 Effect of suspension, revocation or Inactive status. While your Certification is Suspended or Revoked, or has become Inactive, you must, within 14 days (or immediately where we specify):
(a) stop describing yourself as currently Exceed Certified and cease all use of the Mark;
(b) remove the Mark and the disclaimer from your website, profiles, signatures, materials and collateral, including taking reasonable steps to remove or correct cached, archived and third-party copies; and
(c) destroy or stop distributing any materials bearing the Mark.
Your Register entry will be updated to Inactive, Suspended or Revoked as applicable. Where your Certification is Inactive because your licence is not active, it returns to Active automatically when your licence is active again and you are in Good Standing. Reinstatement after suspension or revocation is at our discretion and may require re-assessment or re-payment. Clauses 5.6(c), 8, 9, 10 and 11 survive.
8. Trademark notice and goodwill
8.1 Exceed Certified, the Exceed Certified seal and badge, the Exceed Way and Exceed are trademarks of Exceed Nutrition Ltd. You must mark the credential "Exceed Certified™" using the ™ symbol (not ®) until UK and any other applicable trademark registration completes, after which we will notify the correct symbol.
8.2 You acknowledge that Exceed owns all rights in the Mark, the Method and the Academy materials, and that all goodwill arising from your use of the Mark accrues exclusively to Exceed. You will not do anything to damage, challenge, register, or seek to register the Mark or any confusingly similar mark, name or domain, and you assign to Exceed (and will, at our cost, take reasonable steps to perfect) any goodwill or rights you may acquire in the Mark by operation of your use.
8.3 The licence in clause 5 is the only right you have in the Mark. Use of the Method's underlying Content and Resources is governed by the licence terms in the Terms (non-exclusive, non-transferable, revocable; no reselling, redistributing, repackaging, sublicensing, building a competing library, scraping, or using to train AI/ML models).
9. No downstream relationship; liability
9.1 Certification concerns only the relationship between you and Exceed. Exceed has no contract or relationship with, and owes no duty to, your Clients. Your Clients are not third-party beneficiaries of these Certification Terms, and the Contracts (Rights of Third Parties) Act 1999 is excluded. You are solely responsible for your Clients, their care, consent, suitability, safeguarding and any referral to a healthcare professional, and for putting your own client-facing terms and disclaimers in place.
9.2 You warrant on a continuing basis that you hold the qualifications, registrations and professional indemnity insurance appropriate to your services and territory, that you apply independent professional judgement, and that you stay within your scope of practice. Certification does not modify these obligations.
9.3 Liability. Our total liability arising out of or in connection with the Certification and the Mark, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid to us for the Academy and/or Certification in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, business or reputation, or for any claim by a Client.
9.4 You indemnify Exceed against losses, claims and costs arising from your use or misuse of the Mark, your breach of these Certification Terms, and any claim by or relating to a Client.
9.5 Nothing in these Certification Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded, including under the Unfair Contract Terms Act 1977 and, for any Member who is a consumer, the Consumer Rights Act 2015.
10. Consumer rights
10.1 Certification is offered to you as a business (B2B). However, where any Member is in law a consumer, their mandatory statutory rights (including under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the DMCCA 2024 (and, for EU-based consumers, the EU Consumer Rights Directive and related rules)) prevail over anything inconsistent in these Certification Terms.
10.2 Cancellation, cooling-off and refunds for the Academy enrolment are governed by the Academy Terms / the Terms. Nothing here removes any cooling-off or cancellation right you have there.
11. General
11.1 Relationship to the Terms. These Certification Terms are part of the Terms. The Terms' provisions on the Platform, Content licensing, data, AI, changes, notices and dispute resolution apply here.
11.2 Changes. We may update these Certification Terms, the Academy requirements, the Mark artwork, the brand guidelines and the required disclaimer from time to time. Material changes will be notified in line with the Terms. Continued use of the Mark after changes take effect is acceptance of them.
11.3 Governing law and jurisdiction. These Certification Terms and any dispute or claim arising out of them (including non-contractual) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject always to the mandatory consumer-protection laws and the courts of a consumer-Member's home country, which are unaffected.
11.4 Contact. For certification, the Mark, privacy, Register or verification queries, email hello@exceednutrition.com. Registered office: 8 Church Court, Holywood, Northern Ireland, BT18 9FP.
