Exceed OS: AI & Content Usage Policy
Last updated: 23 June 2026 Version: 1.0 Status: Forward-looking. The principles below govern your use of the Platform now and become directly binding on any Member at the point AI-assisted features are made available to that Member.
This AI & Content Usage Policy ("Policy") is part of, and incorporated into, the Exceed OS Terms of Service. Capitalised terms not defined here have the meaning given in the Terms of Service. In the event of conflict on an AI- or Content-specific matter, this Policy prevails.
1. Who we are and what this covers
This Policy is issued by Exceed Nutrition Ltd (company number NI635845), a company registered in Northern Ireland whose registered office is at 8 Church Court, Holywood, Northern Ireland, BT18 9FP ("Exceed", "we", "us", "our").
We operate Exceed OS (the "Platform" / "the Exceed System"): a licensed platform of educational and business-support tooling for nutrition and wellness coaches, comprising the Coaching Desk, the Meal Plan Desk and the Asset Desk, together with the Academy, The Exceed Way and the updates we make available.
This Policy applies to:
- every Member ("you", "your"): the coach who subscribes to the Platform and who contracts with us as a business; and
- your use of any current or future AI features of the Platform: any functionality that uses artificial intelligence, machine learning, large language models, retrieval, ranking, matching, semantic search, summarisation or similar techniques to help you find, match, assemble or route Content and Resources ("AI Features").
It governs how AI Features may be used, what they do and do not do, and your responsibilities when using them. It sits alongside, and must be read with, our Acceptable Use Policy ("AUP"), our Privacy Policy and (when account/cloud features ship) our Data Processing Agreement ("DPA").
What this Policy is not. Exceed is not a healthcare provider, not a medical service, not a clinical decision-support system and not an AI health advisor. The Platform is a business tool for qualified coaches.
2. The core principle: retrieval, not diagnosis
This is the single most important thing to understand about AI on the Platform, and everything else in this Policy follows from it.
AI Features retrieve and route you to Exceed's pre-authored Content. They do not generate novel, personalised health, medical or nutritional advice, and they do not diagnose, assess, screen, triage or treat any individual.
In practice this means AI Features are designed to:
- take a query, situation or selection that you (the Member) enter;
- search across, match against and rank Exceed's pre-authored, general, educational Content (plays, frameworks, decision trees, communication templates, meal plans, recipes, lessons and assets);
- surface, assemble or route you to the most relevant authored Content; and
- ground their output in that authored Content and, where practicable, cite or point to the underlying source.
AI Features are expressly not designed to, and you must not rely on them to:
- diagnose, assess, screen, triage or treat any person;
- produce a clinical, medical or individualised nutritional recommendation for a named or identifiable individual;
- generate bespoke health advice that is not grounded in pre-authored Content;
- make, or contribute to, any decision about a specific Client's health, suitability, risk or care; or
- act as, or substitute for, the professional judgement of a qualified practitioner.
The output of an AI Feature is a retrieval and matching aid for a professional: a faster route to material we already wrote, not advice, and not a clinical opinion.
3. Educational use only: no medical advice, not a medical device
3.1 Intended purpose
The Platform, including all AI Features, is provided for general education and the business support of qualified nutrition and wellness coaches. Its intended purpose is to help a competent professional find, organise, adapt and deliver pre-authored coaching Content within that professional's own practice.
The Platform and its AI Features are not intended to:
- diagnose, prevent, monitor, predict, prognose, treat or alleviate any disease, injury, disability or medical condition;
- screen for, or assess the presence or severity of, any clinical condition; or
- inform, recommend, guide, calibrate, titrate or otherwise direct the use of any medicine, drug or medical product, including, for the avoidance of doubt, GLP-1 receptor agonists and other weight-loss, appetite-suppressant or metabolic medications.
Nothing produced, matched or surfaced by the Platform is medical advice, a clinical assessment, a prescription, a treatment plan or a substitute for consultation with a suitably qualified and registered healthcare professional.
3.2 Not a medical device
The Platform is not a medical device and is not intended to be placed on the market or put into service as a medical device or as medical device software. It performs no medical purpose within the meaning of applicable medical-device legislation. Because AI Features retrieve general educational Content selected by a professional and do not generate individualised clinical output, they are intended to fall outside the definition of a medical device.
3.3 Member acknowledgement
You acknowledge and agree that you use the Platform on this educational, non-clinical basis, and that you are responsible for ensuring that the way you use its outputs with your Clients does not itself cross into regulated medical, diagnostic or device-like territory.
4. Human judgement is always required
AI Features are a tool for you, the professional. You remain the decision-maker.
- You review, you decide. Every output of an AI Feature is a draft, a suggestion or a retrieved match. You must read it, apply your independent professional judgement, check it against your own knowledge and your Client's circumstances, and decide whether and how to use it.
- You stay within scope. You must only use, adapt and deliver Content that falls within your own qualifications, registration and scope of practice (see clause 7).
- You own the output to the Client. Anything you send to, or do with, a Client is your decision and your professional act, not ours.
4.1 No automated decisions about Clients
AI Features are not designed or permitted to be used to make, or to be the sole basis of, any decision that produces legal or similarly significant effects for a Client. There is no automated decision-making and no profiling of Clients within the meaning of Article 22 of the UK GDPR. A qualified human (you) is always in the loop and always makes the final call about a Client.
5. No individual Client data as model input
This clause is binding now and at launch, and is one of your core obligations.
- AI Features match your query to authored Content. They are built to operate on your professional query and your selections, not on a profile of an individual Client.
- You must not enter Client special-category or health data into AI Features. You must not input, paste, upload or otherwise submit into any AI Feature any personal data, special-category data (UK GDPR Article 9) or health data relating to an identified or identifiable Client or other individual, including names, contact details, medical history, conditions, medications (including GLP-1 and other prescribed medication), allergens tied to a named person, test results, or any other information from which an individual could be identified.
- Use de-identified, general queries. Frame your queries in general, educational, non-identifying terms (for example, the type of situation rather than the person). The Platform is designed so that you never need to disclose Client-identifying information to obtain a relevant result.
- Your responsibility as controller. Where any Client personal data is involved in your practice, you are the data controller in respect of that data. You are responsible for your own lawful basis, consents, transparency to Clients and security. Exceed does not require, request, store or review individual Client data entered through the tools (see clause 9), and Exceed is not a controller of, and owes no duty in respect of, your Clients (see clause 7).
6. Transparency, disclosure, accuracy and limitations
6.1 Transparency and disclosure
- We tell you when AI is involved. Where an output has been generated, matched, ranked or assembled with the assistance of AI, the Platform will indicate this to you.
- Grounded and cited. AI Feature outputs are designed to be grounded in Exceed's authored Content and, where practicable, to cite or link the underlying source so you can verify it.
- Your downstream disclosure duties. Where you pass AI-assisted material on to your Clients or your audience, you are responsible for any disclosure, labelling or transparency that your own legal, regulatory or professional obligations require, including advertising, marketing and influencer rules (for example, CAP/ASA guidance in the UK and equivalent FTC rules in the USA) and any applicable AI-transparency obligations. Exceed does not make any AI-use disclosure to your Clients on your behalf; Exceed has no relationship with your Clients (clause 7).
6.2 Accuracy and limitations
AI Features are useful but imperfect. You acknowledge that:
- retrieval and matching can be incomplete, over-inclusive, out of date, or wrong: relevant Content may be missed, and less-relevant Content may be surfaced;
- outputs may contain errors, omissions or material that is unsuitable for a particular Client or situation;
- the Platform's Content is general and educational and is not tailored to any individual; and
- you must independently verify any output before relying on it or using it with a Client, and must never rely on an AI Feature for any clinical, diagnostic, medical or safety-critical decision.
AI Features are provided "as is" and "as available" to the fullest extent permitted by law. The warranties, disclaimers, and the limitation and capping of liability set out in the Terms of Service apply in full to AI Features, including that liability is limited (not excluded) and capped at the fees you paid in the 12 months before the claim, that indirect and consequential losses are excluded, and that nothing limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited or excluded under the Unfair Contract Terms Act 1977 or the Consumer Rights Act 2015. You indemnify Exceed against claims brought by your Clients arising from your use of AI Features and their outputs, on the terms set out in the Terms of Service.
7. No relationship with your Clients
Exceed contracts only with you, the Member. Exceed has no contract, relationship or duty of care with or to your Clients. Your Clients are not parties to, and acquire no rights under, this Policy or the Terms of Service; the Contracts (Rights of Third Parties) Act 1999 is excluded and no term is enforceable by any Client or other third party.
You are solely responsible for your Clients, including their care, consent, suitability and safety, safeguarding, and any referral to a healthcare professional. Nothing in any AI Feature changes this; an AI-matched result is still your professional act when you use it.
8. Third-party AI providers and data handling
AI Features may be delivered using one or more third-party AI/model providers and infrastructure ("AI Providers"). Where we use AI Providers:
- we will engage them on a zero-retention / no-training basis, meaning that, by contract, they must not retain Member queries or outputs beyond what is needed to return a result, and must not use Exceed Content, Member queries or Platform data to train, fine-tune or improve their own or any third-party AI/ML models;
- Exceed Content and the Method are never licensed to AI Providers for training, and Members are likewise prohibited from using Content to train AI/ML models (clause 9 and the AUP);
- AI Providers act as our sub-processors for any limited processing involved, and will be governed by appropriate data-processing terms and, where account/cloud features apply, listed under the DPA; and
- we will select AI Providers and processing locations with appropriate safeguards for any international data transfers.
9. Member responsibilities and prohibited uses
When using AI Features you must comply with this Policy, the AUP and all applicable law. You are responsible for the Member obligations in the Terms of Service, including that you:
- hold appropriate qualifications and/or registration for your scope of practice, and maintain professional indemnity insurance as a continuing obligation throughout your subscription. Exceed does not verify your qualifications, registration or insurance and does not rely on AI Features to do so;
- apply independent professional judgement to every output and stay within your scope of practice;
- identify and act on clinical and safeguarding red flags (including suspected eating disorders, use of medication (including GLP-1 medication), contraindications and allergens) and refer to an appropriate healthcare professional where indicated. AI Features do not screen for, flag or escalate red flags, and you must not treat their silence as a clearance; and
- put your own client-facing terms, consents and disclosures in place with your Clients.
You must not, and must not permit anyone to:
- enter individual Client special-category, health or other identifying data into any AI Feature (clause 5);
- rely on AI Features for any clinical, diagnostic, medical, dosing, medication or safety-critical decision, or present any AI output to a Client as medical advice, diagnosis, treatment or a clinical assessment;
- use AI Features to diagnose, assess, screen, triage or treat any person, or to direct the use of any medicine (including GLP-1 medication);
- resell, redistribute, repackage, sublicense, scrape, or systematically extract Content or AI outputs, build or contribute to a competing library or product, or otherwise exceed the non-exclusive, non-transferable, revocable licence granted in the Terms of Service;
- use Content, AI outputs, the Method, the Mark or any Platform data to train, fine-tune, test or develop any AI/ML model or dataset, whether your own or a third party's;
- attempt to reverse-engineer, probe, jailbreak, prompt-inject, overload or circumvent the AI Features, their guardrails or their grounding in authored Content; or
- use AI Features in any way that is unlawful, infringing, misleading, or in breach of advertising, consumer-protection, professional or healthcare regulation in your jurisdiction.
Breach of this clause is a material breach of the Terms of Service and may result in suspension or termination and revocation of your licence, without prejudice to our other rights.
10. Consumers and consumer rights
The Platform is positioned and contracted on a business-to-business basis. Nonetheless, where any Member is a consumer in law, that Member's mandatory consumer rights prevail over any inconsistent term of this Policy, and the cooling-off and easy-cancellation provisions of the Terms of Service apply. Mandatory consumer-protection rules of a consumer-Member's home country are not displaced by this Policy or by the governing-law clause.
11. AI Act and risk classification
Based on its intended purpose, the Platform's AI Features are intended to be minimal- or limited-risk AI systems: they retrieve and match general educational Content for a qualified professional, do not perform a medical purpose, do not make automated decisions about individuals, and are not high-risk AI systems within the meaning of the EU AI Act. Where any transparency obligations apply to limited-risk systems, we will meet those that fall on us as provider/deployer, and you must meet those that fall on you as deployer (clause 6.1).
12. Intellectual property
All Content, the Method / the Exceed Way, the Academy materials, and the Exceed Certified certification and its seal/badge (the "Mark") are owned by Exceed or its licensors. AI Features do not transfer any ownership to you. Your right to use Content and AI outputs is the non-exclusive, non-transferable, revocable licence to use and adapt Resources within your own coaching business and with your own Clients while subscribed, as set out in the Terms of Service, and is subject to the prohibitions in clause 9. The Exceed Certified™ Mark recognises completion of the Academy only; it is not a government, university, regulated, professional or medical qualification, does not grant professional registration, and does not replace insurance, qualifications or any legal requirement. The Mark is used with "TM" pending completion of UK trade mark registration.
13. Data posture today
Today the Platform runs largely in your browser using local storage, holds minimal Member data, and any Client data you enter via the tools stays under your control and is not stored or reviewed by Exceed. As AI Features and any account/cloud features ship, processing arrangements (including any limited, transient processing of queries by AI Providers under clause 8) will be governed by our updated Privacy Policy and an additional Data Processing Agreement.
14. Changes to this Policy
We may update this Policy as AI Features develop and as the law evolves. We will post the updated version with a new "Last updated" date and version line and, for material changes, take reasonable steps to notify Members (for example, in-Platform notice or email). Changes are not retrospective. Your continued use of AI Features after an update takes effect constitutes acceptance, save that, for a consumer-Member, any change is subject to mandatory consumer-protection law and the Terms of Service change-notification provisions.
15. Governing law and jurisdiction
This Policy and any dispute or claim arising out of or in connection with it (including non-contractual disputes) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, in each case subject to the mandatory consumer-protection rights and the courts of a consumer-Member's home country where these cannot lawfully be excluded.
